(CSC) Announces the Acquisition of "PowerBrief"
Wilmington, DE (January 25, 2002) -Corporation Service CompanySM
(CSC), a leading provider of Law Office and Registered Agent services
for business and attorneys, today announced the acquisition of the
technology and applications assets of the PowerBrief Company. PowerBrief,
based in Houston, Texas provides lawyers and their clients with
affordable litigation and matter management services to reduce the
cost of litigation and enhance communications among legal team members.
This new level of collaboration promises significant advantages
over existing litigation management applications.
CSC will immediately integrate PowerBrief's litigation management
applications into its own award-winning entity database and compliance
services, enabling them to offer an entirely new level of Registered
Agent service for corporations. Using information and data already
collected and available such as Service of Process history and basic
corporate governance records, CSCs systems will automatically pre-populate
litigation information that can be used to manage insurance reporting,
document distribution and matter and litigation budget systems without
costly re-keying or redundant data entry. This information can be
securely shared by both outside counsel and other members of the
legal defense team. The new service will be an integral part of
CSC's offering of a complete law office solution combining corporate
compliance, governance, intellectual property and litigation management
into a single highly secure internet based set of applications.
This new litigation integration evolved through many recent steps
that CSC has taken to become the leading provider of registered
agent and related compliance and litigation services. First they
introduced the innovative Service of Process History function, which
allows corporations and their law firms to track in real-time the
status of any SOP in which they are involved. Next, they were able
to integrate the Entity information contained in registered agent
files into an electronic Tax filing function, eliminating the need
to re-enter basic tax information such as directors and officers
multiple times for individual entity filings. The third step in
this integration process is the acquisition of PowerBrief, which
has become the cornerstone of CSC's integrated litigation management
system.
CSC's primary objective is to simplify the way the corporate law
office manages the information necessary to administer its compliance,
governance and litigation responsibilities. By linking corporate
data already available in legacy or public databases with specialized
filing and transactional compliance requirements, CSC can significantly

New Member of the Senior Management Team
Wilmington, Delaware - May 25, 2001 - Corporation Service
Company (CSC), a leading provider of corporate legal, compliance
and secured transaction services, has announced that Linda Ratchford
has joined their Senior Management Team as Vice President. In her
first role with CSC, Linda will be leading the Wilmington office
as Branch Manager.
Linda comes to CSC after spending 18 years with Conectiv, serving
in various roles including Vice President of Communications and
Special Assignment to the President. In her last role with Conectiv,
Linda was founder and Executive VP/COO of a startup venture that
provided homebuyers with a single purchase point for home-related
services.

services, was recently featured in the monthly magazine "Corporate
Legal Times." CLT's technology reporter, Cary Griffith, reviewed
CSC's highly regarded website, "IncSpot." His headline "Spend
the Smart Money at CSC's www.IncSpot.com" summarized
his very positive review.
IncSpot, which was introduced in 1997, was the first website in
the legal industry to offer clients specific services. As Mr. Griffith
