New Trend Among Fortune 500 Companies Shows More Legal Departments Finding Nontraditional Ways to Create Value
Economy, Fiscal Pressure Focus General Counsel and Corporate Secretaries
on Unsung, but Legally Required, Service as Way to Control Costs and Boost Bottom-line
Wilmington, DE, November 3, 2004 -- Corporation Service Company® (CSC), the world's leading US-owned registered agent and provider of corporate governance, compliance, UCC, litigation management and IP services, today announced that twenty Fortune 500* companies have switched to CSC’s registered agent services in the past year, most from CT Corporation. Over 11 have switched to CSC this year alone, representing a net gain of ten for 2004, and a total representation of 271 – well over half – of the prestigious market. “While Fortune 500 and other large companies have been switching to our services for many years, the significant upswing of the past several years confirms a continued trend throughout the legal services industry,” said Bruce R. Winn, President and Chief Executive Officer of CSC. “Through our focus on perfecting the basics of this business – error-free work, model customer service and industry-leading technology – we believe we have actually ignited that trend.” The trend is that more corporate legal departments are turning to registered agent service providers to help cut unnecessary costs and more efficiently manage the required ones. Registered agents are legal representatives who receive service of process – lawsuits and other time-sensitive legal correspondence – on behalf of companies and individuals. All of the U.S. states, and many countries throughout the world, require companies doing business within their jurisdictions to maintain a registered agent within their boundaries in order to qualify to do business and remain in good standing. CSC was the first company to seamlessly integrate a company's existing data (already in its possession through its registered agent service) with litigation management and entity management services. Companies that use CSC have their own data automatically populated so entity records and litigation histories are always current and easily accessible. There is no cumbersome or time-consuming re-keying of data into separate software systems. The registered agent's timely and skilled handling of a company's service of process and entity management information is critical to a company's compliance and legal standing. This, in turn, provides the legal department increased opportunity to significantly cut costs and impact its company’s bottom line. “The legal departments of Fortune 500 companies are under increasing pressure not only to manage costs but also to contribute to their companies’ bottom-line,” said Jennifer A. Kenton, Vice President of Sales for CSC. “And they are responding in smart ways: they are not buying on price alone; they are buying on lowest error, best technology and efficiency. In other words, they are buying on ROI.” Companies that have switched registered agent include some of the world’s largest brands in the communications, retail, chemical, and financial services industries.
