1899 State
of Delaware adopts the Delaware General Corporation Law landmark legislation
that simplified the legal process of incorporation and granted certain tax advantages
to corporations.
Otho Nowland, President of Equitable Guarantee & Trust Company, shares an
idea with Christopher Ward, a young Wilmington lawyer. Nowland proposes that
Ward establish an agency to assist with outside counsel in organizing corporations
and acting as their local registered agent. Ward agrees and, with an initial
investment of $1,500, he launches the Delaware Incorporators' Trust Company.
Josiah Marvel, a well-respected attorney and leader of the American Bar Association,
Delaware Bar Association, and Delaware State Chamber of Commerce, pioneers a
similar incorporation company designed to register companies as corporate entities
within the state of Delaware.
1920
Ward and Marvel, both visionaries in their efforts to shape Delaware's
future as America's corporate capital, combine their two companies under the
name Corporation Service Company®.
1920s - 1970s CSC continues
to serve only Delaware corporations. Business grows mainly from word-of-mouth
referrals. CSC prospers and so does Delaware's reputation as "The Corporate
State."
1975
Daniel R. Butler joins CSC as part-time president, when CSC has only
a dozen employees.
1976 - 1979 Under the direction
of its new president, CSC embarks on a period of accelerated growth, devoting
more time and money to advertising, marketing, and increasing the size of its
sales force.
CSC grows from a small, regional service provider to one of the industry's leading
privately held companies while achieving record annual sales increases.
1980 - 1985 CSC's growth continues
and is refueled by the sale of its successful subsidiary, Delaware Charter Guarantee
& Trust Company.
1990
CSC acquires Florida-based Corporate Information Services (CIS). This
acquisition marks the first in a series of regionally based acquisitions designed
to broaden CSC's marketplace beyond the state of Delaware.
1990 - 1998 CSC continues
to prosper, acquiring nine respected service providers including the most notable
Prentice Hall Legal & Financial Services in 1995 and Entity
Service Group, LLC in 1998.
CSC now has numerous offices, including CSC service centers, in key locations
throughout the United States.
2000
CSC launches two new Internet companies AccountStreet.com and
ComplianceWatch.com while expanding its opportunities to provide incorporation
and registered agent services to targeted small business sectors.
A new trust company is created The Capital Trust Company of Delaware
providing corporate trustee services for both personal and Delaware business
trusts.
2002
CSC acquires Powerbrief®'s litigation management application,
providing lawyers and their clients with affordable litigation and matter management
services.
Corporate Domains, Inc. a wholly owned subsidiary of CSC becomes an ICANN accredited
registrar managing domain names for many Fortune 500® Companies.
CSC launches RecordsCenterSM, a comprehensive, online suite of integrated Compliance,
Governance and Intellectual Property services.
2003
CSC completes another
major acquisition by purchasing LexisNexisTM Document Solutions,
resulting in even more depth to lead the industry in Uniform Commercial
Code (UCC), secured lending, and motor vehicle services.
2004
CSC becomes the market leader in assisting new company formations in Delaware.
Two of CSC's services achieve significant milestones: RecordsCenterSM becomes the most frequently installed entity management system and PowerBrief® reaches over 5,000 legal professional active users, over 200 legal departments and more than 5 million case files.
2005
CSC continues to strengthen product offerings through several key acquisitions. The purchase of both Diligenz, Inc. and US Corporate Services enhances and expands CSC's UCC services. Acquiring eBrandSecure expands CSC's global name management services.
CSC, already a majority owner, completes the full acquisition of Entity Services, the largest and most respected non-bank, full service Passive Investment Companies (PIC) service provider.
CSC introduces CSC SameDay SOPSM , the revolutionary new service for receiving, processing, and distributing Service of Process (SOP), enabling the same day electronic delivery of SOP to our registered agent clients.
2006
CSC acquires Register.com’s Corporate Services Division and clearly positions CSC as the world’s leading provider of corporate domain name management and brand protection services.
2007 CSC completes another acquisition by purchasing NameProtect and the combined offering provides customers access to enhanced and expanded trademark clearance services and digital brand monitoring products and services.
