Headline: New legislation for business entities goes into effect January 1, 2009…

Act 58 amending the business entity statutes took effect January 1, 2009 and provides for a penalty for filing false document; an increase in reinstatement fee after administrative dissolution to $250 from $100; revocation of corporation if corporation fails to respond to valid and enforceable subpoena; and forfeiture of LLC if (i) a member signed a document he knew was false in any material respect with intent to deliver document for filing, (ii) LLC failed to respond to valid and enforceable subpoena, or (iii) it is in the public interest and LLC or members failed to provide records to registered agent, provided fraudulent information or to correct false information upon request of secretary of state on any filing, or cannot be served by registered agent or by mail by secretary of state acting as agent for process.

Headline: Authorization of electronic notaries becomes effective February 1, 2009…

Senate Bill 246 (Chapter 253) signed June 26, 2008 and effective February 1, 2009 modernizing notary public law to authorize electronic notaries. The Act allows the Governor to appoint resident and non-resident electronic notaries who maintain offices or a regular place of employment in Delaware. The Act allows the Governor to appoint non-resident attorneys at law and non-resident employees of financial services companies licensed in the United States that have demonstrated a reasonable need for permitting their employees to become electronic notaries under Delaware law.

The Washington Secretary of State has advised business entities that legislation passed during the 2007 session to help fund the Washington State Heritage Center increases fees by $5.00 effective January 1, 2009 for all business entity formation and qualification filings (except non-profit entities) at the Secretary of State's Corporations Division.

Headline: Year-end bills signed by Governor Jennifer Granholm take immediate effect…

Michigan's governor signed two groups of tie-barred bills that amend certain UCC filing procedures and recording protocols in the register of deeds offices. The first group of 3 bills takes effect in 90 days and the second group took effect immediately from December 23.

Act No. 381 (House Bill 5934) allows a person identified as a debtor in a financing statement filed with Secretary of State to file an affidavit to give notice of a fraudulent financing statement and provides for termination of the financing statement effective on date affidavit is filed.

Act No. 382 (HB 5935) amends the Code of Criminal Procedure to specify that filing a false affidavit of fraudulent financing statement is a Class E felony with a maximum term of imprisonment of five years.

Act No. 383 (Senate Bill 1236) sets forth certain reasons requiring the filing office to reject filing of financing statements.

Headline: Changes to Wyoming's Registered Offices and Agents Act effective January 1, 2009...

Effective January 1, 2009, the Wyoming Registered Offices and Agents Act, W.S 17-28-101, et seq., 2008, now requires all business entities formed or qualified to do business in Wyoming to provide their registered agent or the Secretary of State with a current Communications Contact, including the name, business address and business telephone number of a natural person. The Communications Contact may be an officer, director, employee, or designated agent of the entity who is authorized to receive communications from the registered agent. The new law requires business entities to update this information with their registered agent or the Secretary of State within 60 days of any change. The Act also requires additional record keeping requirements for domestic business entities

Headline: Effective January 1, 2009, Department of Taxation and Finance now requires electronic returns…

Effective January 1, 2009, The New York Department of Taxation and Finance now requires corporations to e-file all general business and New York State S corporation (Article 9-A) returns and extensions, and electronically pay the balance due on those tax documents if the corporation meets the following conditions: does not use a tax return preparer to prepare Article 9-A general business corporation and S corporation tax returns; uses tax preparation software that has been approved by New York State for e-filing business corporation and S corporation tax returns; and has broadband internet access.
